Priya defends issuers and their boards in federal securities class actions, derivative suits and SEC enforcement.

Background

Priya heads the firm’s securities litigation practice. She defends public companies, officers and directors in Rule 10b-5 class actions, Section 11 claims, derivative litigation and enforcement proceedings before the Securities and Exchange Commission.

Her practice is built around the motion to dismiss. She engages an economic expert before a lead plaintiff is even appointed, so that the loss-causation argument in the opening brief is grounded in the price data rather than in adjectives. Roughly two thirds of the class actions she has defended since 2018 were dismissed at the pleading stage.

Before joining the firm she spent four years in the SEC Division of Enforcement, which informs how she reads a Wells notice and what she believes staff will accept in a submission.

Selected matters.

  1. Obtained dismissal with prejudice of a consolidated 10b-5 class action against a Nasdaq-listed medical device issuer following a restatement.
  2. Closed an SEC investigation of a Chicago asset manager at the Wells stage with no enforcement recommendation.
  3. Defended a board special committee in derivative litigation arising from a failed take-private.
